Terms and Conditions for worxTMS

These Terms and Conditions (“Terms”) govern your use of the worxTMS website, software, and services (“Services”) operated by worxTMS (“we,” “our,” “us”). By accessing or using worxTMS, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1. Use of Services
- You must be at least 18 years old or the legal age of majority in your jurisdiction to use worxTMS.
- You agree to use worxTMS only for lawful purposes and in accordance with these Terms.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
2. Account Registration
When creating an account, you agree to provide accurate and complete information. You must promptly update your information if it changes. We reserve the right to refuse or cancel accounts at our discretion.
3. Services and Availability
We strive to keep worxTMS operational and secure but do not guarantee uninterrupted or error-free availability. Features may change, be suspended, or discontinued at any time without notice.
4. Third-Party Integrations
worxTMS integrates with third-party accounting platforms including but not limited to Xero, QuickBooks Online (QBO), and FrontAccounting.
- By enabling an integration, you authorize worxTMS to access and process relevant data from those platforms solely to provide Services.
- We only access the data necessary to perform requested functions.
- We do not use or resell accounting data for marketing or unrelated purposes.
- You acknowledge that third-party providers are independent and subject to their own terms and privacy policies.
- worxTMS is not responsible for outages, errors, changes in functionality, or data loss caused by third-party providers.
- Disconnection of an integration will stop future data sync, but previously synchronized data may remain in your account unless you request deletion.
5. User Responsibilities
- You are responsible for all content, data, and materials you enter into worxTMS.
- You confirm you have the right to share and process any data you upload or connect via integrations.
- You agree not to misuse worxTMS, including but not limited to attempting unauthorized access, introducing malware, or disrupting Services.
6. Payments and Subscriptions
- Some Services require a paid subscription. Fees are billed in advance and are non-refundable unless otherwise stated.
- We may suspend or terminate access if payments are overdue.
- Prices and payment terms may be updated with reasonable notice.
7. Intellectual Property
All content, trademarks, and software associated with worxTMS are the property of worxTMS or its licensors. You are granted a limited, non-exclusive, non-transferable license to use worxTMS solely for your internal business purposes. You may not copy, modify, distribute, or create derivative works without prior written consent.
8. Data Protection and Privacy
Your use of worxTMS is also governed by our Privacy Policy. By using our Services, you consent to the collection and processing of information as described therein.
9. Disclaimers
- worxTMS is provided “as is” and “as available” without warranties of any kind, whether express or implied.
- We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that worxTMS will be error-free, secure, or meet your specific requirements.
- We are not responsible for any downtime, data loss, or inaccuracies arising from third-party integrations or API changes.
10. Limitation of Liability
- To the maximum extent permitted by law, worxTMS and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- Our total liability for any claim arising out of or related to these Terms shall not exceed the amount you paid for the Services in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless worxTMS, its affiliates, officers, employees, and partners from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or data protection laws
12. Termination
We may suspend or terminate your account at our sole discretion if you breach these Terms or misuse the Services. Upon termination, your right to use worxTMS ceases immediately, and we may delete your data in accordance with our Privacy Policy.
13. Governing Law
These Terms shall be governed by and construed under the laws of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts in South Africa.
14. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on our website with a revised “Effective Date.” Continued use of the Services after changes indicates acceptance of the updated Terms.
